These Terms and Conditions (the “Terms”) govern your access to and use of the websites, dashboards, control panels, APIs, and services (collectively, the “Services”) provided by Nath Network & Telecom Inc. (“CDNShark”, “we”, “us”, or “our”). By registering for an account, purchasing a plan, or otherwise using the Services, you (“you”, “Customer”, or “User”) agree to be bound by these Terms. If you do not agree, you must not use the Services.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case “you” and “Customer” refer to that entity.

1. Definitions

  • Account — the registered account through which you access and manage the Services.
  • Customer Content — any data, files, websites, media, DNS records, code, backups, or other material you upload to, transmit through, store on, or serve via the Services.
  • Edge Network — CDNShark’s globally distributed points of presence used to cache and deliver content.
  • End User — any visitor to, or user of, the websites, applications, or services you operate using the Services.
  • Challenge — an automated verification step presented to an End User before access is granted, including a JavaScript proof-of-work interstitial or a SharkCaptcha widget.
  • Connector — the CDNShark connector software you install on infrastructure you own or control in order to establish a Private Origin Tunnel.
  • Plan — a subscription tier or package describing the resources, limits, and pricing applicable to your Services.
  • AUP — our Acceptable Use Policy, which forms part of these Terms.

2. Eligibility and Account Registration

You must be at least 18 years old, or the age of legal majority in your jurisdiction, and capable of forming a binding contract to use the Services. You agree to provide accurate, current, and complete registration information and to keep it up to date.

You are responsible for safeguarding your account credentials and for all activity that occurs under your Account. You must notify us immediately of any unauthorized use or suspected security breach. We are not liable for any loss arising from your failure to protect your credentials.

3. Description of Services

CDNShark provides a range of integrated infrastructure and hosting services, which may include, depending on your Plan:

  • Content Delivery Network (CDN) — caching and acceleration of websites, APIs, and media across our Edge Network.
  • Managed DNS — authoritative DNS hosting and record management.
  • Object Storage — S3-compatible storage for files and media, offered across storage tiers (e.g. HDD and NVMe).
  • Cloud VPS — virtual private servers with allocated compute, memory, and storage resources.
  • Web Hosting and Email Hosting — managed hosting for websites and mailboxes.
  • WebRTC Broadcasting and Viewing — real-time live streaming publishing and playback.
  • Bot Protection and Challenges — optional JavaScript Challenge and “Under Attack” modes that you may enable per hostname to filter automated traffic at the Edge Network.
  • SharkCaptcha — a CAPTCHA service you may embed in your own websites and applications, consisting of a browser widget and a server-side verification endpoint.
  • Private Origin Tunnel — an outbound encrypted tunnel from a Connector installed on your infrastructure to CDNShark tunnel gateways, allowing you to publish services without exposing your origin IP address or opening inbound ports.
  • Backup Services — encrypted, client-side backup of your data to CDNShark storage using third-party backup software.
  • Support Tools — ticketing, knowledge base, status pages, and an AI-assisted support assistant.

We may add, modify, or discontinue features of the Services at any time. We will use commercially reasonable efforts to notify you of material changes that adversely affect your use of the Services.

4. Plans, Fees, and Billing

Fees for the Services are described on your Plan or order at the time of purchase. Unless stated otherwise:

  • Subscription fees are billed in advance on a recurring basis (e.g. monthly or annually) and automatically renew for successive periods until cancelled.
  • Usage-based charges (such as bandwidth, storage, or resource overages beyond your Plan’s included allowances) are billed in arrears.
  • All fees are exclusive of applicable taxes, levies, or duties, which you are responsible for paying.
  • You authorize us and our payment processors to charge your designated payment method for all fees due.

If a payment fails or an invoice remains unpaid, we may suspend or terminate the affected Services after providing notice. Reactivation may be subject to a fee. Refunds, where available, are governed by our Refund Policy.

5. Acceptable Use

Your use of the Services must comply with our Acceptable Use Policy and all applicable laws. Without limiting the AUP, you must not use the Services to:

  • Store, transmit, or serve content that is illegal, infringing, defamatory, or that violates the rights of others;
  • Distribute malware, engage in phishing, fraud, or unauthorized access to systems;
  • Send unsolicited bulk communications (spam) or operate open relays;
  • Conduct or facilitate denial-of-service attacks, port scanning, or network abuse;
  • Host content that exploits or endangers minors, or that incites violence or unlawful acts;
  • Expose, tunnel, proxy, or publish any network, system, or service that you do not own or are not authorized to make available;
  • Circumvent Plan limits, resell the Services without authorization, or interfere with the integrity or performance of the Services or the Edge Network.

We reserve the right, but assume no obligation, to investigate suspected violations and to remove or disable access to Customer Content that we reasonably believe violates these Terms or the AUP.

6. Customer Content and Responsibilities

You retain all ownership rights in your Customer Content. You grant CDNShark a worldwide, non-exclusive, royalty-free license to host, cache, copy, transmit, distribute, and display Customer Content solely as necessary to operate and provide the Services to you.

You are solely responsible for your Customer Content, including its legality, accuracy, and the securing of any rights, consents, or licenses required to use it with the Services. You represent and warrant that your Customer Content and its use with the Services do not violate any law or third-party right.

7. Fair Use, Resources, and Limits

Each Plan includes defined allowances for bandwidth, storage, compute, and other resources. Usage beyond those allowances may incur additional charges or result in throttling or suspension. Traffic carried over a Private Origin Tunnel, and the number of CAPTCHA sites you may operate, count against the allowances of your Plan. We may enforce reasonable technical limits to protect the stability and security of the Services and to ensure fair use among all customers.

8. Backups and Data Responsibility

Where a backup feature is offered, backups are encrypted on the client side, and encryption keys or passwords may remain under your control. If you lose such credentials, we may be unable to recover your data. Except where a specific backup Service is purchased and enabled, you are responsible for maintaining your own backups of Customer Content. We do not warrant that any backup will be complete, uncorrupted, or recoverable, and you should not rely on the Services as your sole means of data retention.

9. Service Availability and Support

We strive to provide reliable Services but do not guarantee uninterrupted or error-free operation unless a separate Service Level Agreement (SLA) has been agreed in writing. The Services may be temporarily unavailable due to maintenance, upgrades, or circumstances beyond our reasonable control. Support is provided through the channels described on our website and may vary by Plan.

10. AI Support Assistant

The Services may include an AI-assisted support tool that generates responses automatically. Such responses are provided for convenience and general guidance only, may be inaccurate or incomplete, and do not constitute professional, legal, or binding advice. You should independently verify important information and, where necessary, contact our human support team. Do not submit sensitive credentials or confidential information to the AI assistant.

11. Bot Protection and Challenges

Bot Protection is an optional feature that you enable, at your discretion, on individual hostnames proxied through the Edge Network. Where enabled, we interpose a Challenge between your End Users and your origin before serving page requests.

  • Modes. “JS Challenge” applies a standard verification with a longer clearance period; “Under Attack” applies a more aggressive verification with a shorter clearance period. You may change or disable the mode at any time.
  • How it works. The End User’s browser is served an interstitial page and must complete an automated proof-of-work computation before the request proceeds. On success, a short-lived clearance cookie is set in the browser so that subsequent requests are not re-challenged until it expires.
  • Your decision, your responsibility. You are solely responsible for deciding whether to enable Bot Protection and for the consequences of doing so. A Challenge requires JavaScript and consumes processing time on the End User’s device, and may block, delay, or degrade access for legitimate visitors, assistive technologies, older browsers, non-browser clients, API consumers, and automated integrations.
  • No guarantee. Bot Protection is provided on a best-efforts basis. We do not warrant that it will identify or stop all automated, malicious, or unwanted traffic, or that it will not affect traffic you consider legitimate.
  • Allow-lists. Where you configure IP bypass lists or elect to exempt verified search-engine crawlers, those exemptions are applied on a best-efforts basis using data sources that may change without notice.
  • Notice to End Users. You are responsible for describing the use of Challenges and the clearance cookie in your own privacy notice, cookie notice, or consent mechanism, and for obtaining any consent required in your End Users’ jurisdictions.
  • Network protection. We may adjust Challenge difficulty, clearance periods, and thresholds, or apply Challenges to traffic on our own initiative, where reasonably necessary to protect the Services or the Edge Network.

12. SharkCaptcha

SharkCaptcha allows you to place a CAPTCHA widget on your own websites and applications and to verify the resulting tokens from your server.

  • Keys. Each CAPTCHA site is issued a public site key and a private secret key. You must keep the secret key confidential and must not embed it in client-side code. You are responsible for all verification requests made using your keys.
  • Permitted use. You may use SharkCaptcha only on domains and applications that you own or control, and only within the number of sites included in your Plan or purchased as an add-on. You may not resell, sublicense, or offer SharkCaptcha as a standalone service to third parties.
  • Advisory result. A verification result indicates only that a valid, unexpired, single-use token was presented. It is a signal, not a determination that a request is human or trustworthy. You remain responsible for your own access, security, and fraud decisions.
  • Accessibility and fairness. You are responsible for ensuring your use of a Challenge complies with accessibility and non-discrimination obligations applicable to you, including providing an alternative route where required by law.
  • Notice to End Users. You are responsible for disclosing your use of SharkCaptcha in your own privacy notice.
  • Abuse and limits. We may rate-limit, suspend, or revoke a site key that generates abusive, excessive, or anomalous request volumes, or that is used in breach of these Terms.

13. Private Origin Tunnel

The Private Origin Tunnel allows a Connector installed on your infrastructure to establish an outbound encrypted connection to CDNShark tunnel gateways, so that selected services can be published through the Services without exposing your origin IP address or opening inbound ports.

  • Connector license. We grant you a limited, revocable, non-exclusive, non-transferable license to install and run the Connector solely to use the Services, on infrastructure you own or control, for the term of your subscription. You may not reverse engineer, modify, redistribute, or circumvent the Connector except to the extent permitted by law.
  • Authorized targets only. You may only configure routes to systems and services that you own or are expressly authorized to expose. Using a Tunnel to reach, publish, or relay any third-party network without authorization is a material breach of these Terms.
  • Your configuration, your risk. Publishing an internal service through a Tunnel makes it reachable according to the routes and access controls you configure. You are solely responsible for those settings, for the security and patching of the systems you expose, and for any consequences of exposing a service intentionally or in error.
  • Traffic transits our network. Traffic carried over a Tunnel passes through CDNShark gateways and, where applicable, the Edge Network, and is subject to these Terms, the AUP, and our Privacy Policy.
  • Versions and updates. The Connector may update automatically where you have enabled that option. We may require a minimum Connector version and may refuse connections from unsupported or revoked versions.
  • Credentials. Enrollment tokens and connector credentials authenticate your Tunnel. You are responsible for keeping them confidential and for revoking them promptly when a device is decommissioned or compromised.
  • Availability. We do not guarantee the availability of any particular gateway, region, or transport. We may relocate, reassign, or terminate Tunnel sessions where reasonably necessary to protect the Services, and may suspend a Tunnel that threatens network stability or security.

14. Third-Party Services

The Services may integrate with or rely upon third-party software, networks, and providers. Your use of such third-party components may be subject to their own terms, and we are not responsible for the acts, omissions, availability, or content of third parties.

15. Intellectual Property

All rights, title, and interest in and to the Services, including our software, dashboards, documentation, the Connector, trademarks, and the “CDNShark” and “SharkCaptcha” names and branding, are and remain the exclusive property of CDNShark and its licensors. Except for the limited right to use the Services in accordance with these Terms, no rights are granted to you. You may not copy, modify, reverse engineer, or create derivative works of the Services except as permitted by law.

16. Suspension and Termination

You may cancel your Services at any time through your Account or by contacting us, subject to the terms of your Plan. We may suspend or terminate your access to all or part of the Services, with or without notice, if:

  • You breach these Terms or the AUP;
  • Your payment is overdue;
  • Your use poses a security, legal, or operational risk to us, other customers, or third parties; or
  • We are required to do so by law or by a competent authority.

Upon termination, your right to use the Services ceases immediately, Tunnels and Connectors are disconnected, and CAPTCHA site keys cease to verify. We may delete Customer Content following termination after any applicable retention period. You remain liable for all fees accrued up to the effective date of termination.

17. Disclaimers

To the maximum extent permitted by law, the Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that any data will be preserved without loss. Without limiting the foregoing, we do not warrant that Bot Protection or SharkCaptcha will detect or prevent any particular automated, fraudulent, or malicious activity, or that a Private Origin Tunnel will conceal your origin infrastructure in all circumstances.

18. Limitation of Liability

To the maximum extent permitted by law, CDNShark and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to the Services or these Terms, even if advised of the possibility of such damages.

In no event will our aggregate liability arising out of or relating to the Services or these Terms exceed the total amount you paid to us for the affected Services during the three (3) months immediately preceding the event giving rise to the claim.

19. Indemnification

You agree to indemnify, defend, and hold harmless CDNShark and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your Customer Content, your use of the Services, your configuration of Challenges or Tunnels, or your breach of these Terms or applicable law.

20. Data Protection and Privacy

Our collection and processing of personal data is described in our Privacy Policy and, where applicable, our GDPR Policy. By using the Services, you consent to such processing and confirm that you have obtained any consents required from your own End Users.

Where we deliver traffic, present Challenges, verify CAPTCHA tokens, or carry Tunnel traffic for your websites and applications, we process End User data on your behalf and act as a processor, with you acting as the controller. You are responsible for providing your End Users with any notices required by applicable law, including in relation to the clearance cookie set by Bot Protection, and for establishing a lawful basis for that processing.

21. Copyright and DMCA

We respond to notices of alleged copyright infringement in accordance with our DMCA Policy. We may remove or disable access to allegedly infringing material and terminate the accounts of repeat infringers.

22. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

23. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict-of-laws principles. The state and federal courts located in New York, United States shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, except that we may seek injunctive relief in any competent court to protect our rights.

24. General

  • Entire Agreement. These Terms, together with the AUP and any policies referenced herein and your applicable Plan or order, constitute the entire agreement between you and CDNShark regarding the Services.
  • Severability. If any provision is held unenforceable, the remaining provisions will remain in full force and effect.
  • No Waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
  • Force Majeure. We are not liable for any failure or delay caused by events beyond our reasonable control.
