Terms and Conditions

These Terms and Conditions (the “Terms”) govern your access to and use of the websites, dashboards, control panels, APIs, and services (collectively, the “Services”) provided by Nath Network & Telecom Inc. (“CDNShark”, “we”, “us”, or “our”). By registering for an account, purchasing a plan, or otherwise using the Services, you (“you”, “Customer”, or “User”) agree to be bound by these Terms. If you do not agree, you must not use the Services.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case “you” and “Customer” refer to that entity.

1. Definitions

  • Account — the registered account through which you access and manage the Services.
  • Customer Content — any data, files, websites, media, DNS records, code, backups, or other material you upload to, transmit through, store on, or serve via the Services.
  • Edge Network — CDNShark’s globally distributed points of presence used to cache and deliver content.
  • Plan — a subscription tier or package describing the resources, limits, and pricing applicable to your Services.
  • AUP — our Acceptable Use Policy, which forms part of these Terms.

2. Eligibility and Account Registration

You must be at least 18 years old, or the age of legal majority in your jurisdiction, and capable of forming a binding contract to use the Services. You agree to provide accurate, current, and complete registration information and to keep it up to date.

You are responsible for safeguarding your account credentials and for all activity that occurs under your Account. You must notify us immediately of any unauthorized use or suspected security breach. We are not liable for any loss arising from your failure to protect your credentials.

3. Description of Services

CDNShark provides a range of integrated infrastructure and hosting services, which may include, depending on your Plan:

  • Content Delivery Network (CDN) — caching and acceleration of websites, APIs, and media across our Edge Network.
  • Managed DNS — authoritative DNS hosting and record management.
  • Object Storage — S3-compatible storage for files and media, offered across storage tiers (e.g. HDD and NVMe).
  • Cloud VPS — virtual private servers with allocated compute, memory, and storage resources.
  • Web Hosting and Email Hosting — managed hosting for websites and mailboxes.
  • WebRTC Broadcasting and Viewing — real-time live streaming publishing and playback.
  • Backup Services — encrypted, client-side backup of your data to CDNShark storage using third-party backup software.
  • Support Tools — ticketing, knowledge base, status pages, and an AI-assisted support assistant.

We may add, modify, or discontinue features of the Services at any time. We will use commercially reasonable efforts to notify you of material changes that adversely affect your use of the Services.

4. Plans, Fees, and Billing

Fees for the Services are described on your Plan or order at the time of purchase. Unless stated otherwise:

  • Subscription fees are billed in advance on a recurring basis (e.g. monthly or annually) and automatically renew for successive periods until cancelled.
  • Usage-based charges (such as bandwidth, storage, or resource overages beyond your Plan’s included allowances) are billed in arrears.
  • All fees are exclusive of applicable taxes, levies, or duties, which you are responsible for paying.
  • You authorize us and our payment processors to charge your designated payment method for all fees due.

If a payment fails or an invoice remains unpaid, we may suspend or terminate the affected Services after providing notice. Reactivation may be subject to a fee. Refunds, where available, are governed by our Refund Policy.

5. Acceptable Use

Your use of the Services must comply with our Acceptable Use Policy and all applicable laws. Without limiting the AUP, you must not use the Services to:

  • Store, transmit, or serve content that is illegal, infringing, defamatory, or that violates the rights of others;
  • Distribute malware, engage in phishing, fraud, or unauthorized access to systems;
  • Send unsolicited bulk communications (spam) or operate open relays;
  • Conduct or facilitate denial-of-service attacks, port scanning, or network abuse;
  • Host content that exploits or endangers minors, or that incites violence or unlawful acts;
  • Circumvent Plan limits, resell the Services without authorization, or interfere with the integrity or performance of the Services or the Edge Network.

We reserve the right, but assume no obligation, to investigate suspected violations and to remove or disable access to Customer Content that we reasonably believe violates these Terms or the AUP.

6. Customer Content and Responsibilities

You retain all ownership rights in your Customer Content. You grant CDNShark a worldwide, non-exclusive, royalty-free license to host, cache, copy, transmit, distribute, and display Customer Content solely as necessary to operate and provide the Services to you.

You are solely responsible for your Customer Content, including its legality, accuracy, and the securing of any rights, consents, or licenses required to use it with the Services. You represent and warrant that your Customer Content and its use with the Services do not violate any law or third-party right.

7. Fair Use, Resources, and Limits

Each Plan includes defined allowances for bandwidth, storage, compute, and other resources. Usage beyond those allowances may incur additional charges or result in throttling or suspension. We may enforce reasonable technical limits to protect the stability and security of the Services and to ensure fair use among all customers.

8. Backups and Data Responsibility

Where a backup feature is offered, backups are encrypted on the client side, and encryption keys or passwords may remain under your control. If you lose such credentials, we may be unable to recover your data. Except where a specific backup Service is purchased and enabled, you are responsible for maintaining your own backups of Customer Content. We do not warrant that any backup will be complete, uncorrupted, or recoverable, and you should not rely on the Services as your sole means of data retention.

9. Service Availability and Support

We strive to provide reliable Services but do not guarantee uninterrupted or error-free operation unless a separate Service Level Agreement (SLA) has been agreed in writing. The Services may be temporarily unavailable due to maintenance, upgrades, or circumstances beyond our reasonable control. Support is provided through the channels described on our website and may vary by Plan.

10. AI Support Assistant

The Services may include an AI-assisted support tool that generates responses automatically. Such responses are provided for convenience and general guidance only, may be inaccurate or incomplete, and do not constitute professional, legal, or binding advice. You should independently verify important information and, where necessary, contact our human support team. Do not submit sensitive credentials or confidential information to the AI assistant.

11. Third-Party Services

The Services may integrate with or rely upon third-party software, networks, and providers. Your use of such third-party components may be subject to their own terms, and we are not responsible for the acts, omissions, availability, or content of third parties.

12. Intellectual Property

All rights, title, and interest in and to the Services, including our software, dashboards, documentation, trademarks, and the “CDNShark” name and branding, are and remain the exclusive property of CDNShark and its licensors. Except for the limited right to use the Services in accordance with these Terms, no rights are granted to you. You may not copy, modify, reverse engineer, or create derivative works of the Services except as permitted by law.

13. Suspension and Termination

You may cancel your Services at any time through your Account or by contacting us, subject to the terms of your Plan. We may suspend or terminate your access to all or part of the Services, with or without notice, if:

  • You breach these Terms or the AUP;
  • Your payment is overdue;
  • Your use poses a security, legal, or operational risk to us, other customers, or third parties; or
  • We are required to do so by law or by a competent authority.

Upon termination, your right to use the Services ceases immediately. We may delete Customer Content following termination after any applicable retention period. You remain liable for all fees accrued up to the effective date of termination.

14. Disclaimers

To the maximum extent permitted by law, the Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that any data will be preserved without loss.

15. Limitation of Liability

To the maximum extent permitted by law, CDNShark and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to the Services or these Terms, even if advised of the possibility of such damages.

In no event will our aggregate liability arising out of or relating to the Services or these Terms exceed the total amount you paid to us for the affected Services during the three (3) months immediately preceding the event giving rise to the claim.

16. Indemnification

You agree to indemnify, defend, and hold harmless CDNShark and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your Customer Content, your use of the Services, or your breach of these Terms or applicable law.

17. Data Protection and Privacy

Our collection and processing of personal data is described in our Privacy Policy and, where applicable, our GDPR Policy. By using the Services, you consent to such processing and confirm that you have obtained any consents required from your own end users.

18. Copyright and DMCA

We respond to notices of alleged copyright infringement in accordance with our DMCA Policy. We may remove or disable access to allegedly infringing material and terminate the accounts of repeat infringers.

19. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

20. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict-of-laws principles. The state and federal courts located in New York, United States shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, except that we may seek injunctive relief in any competent court to protect our rights.

21. General

  • Entire Agreement. These Terms, together with the AUP and any policies referenced herein and your applicable Plan or order, constitute the entire agreement between you and CDNShark regarding the Services.
  • Severability. If any provision is held unenforceable, the remaining provisions will remain in full force and effect.
  • No Waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
  • Force Majeure. We are not liable for any failure or delay caused by events beyond our reasonable control.
